General Terms of Use and Sale (CGU / CGV)

1. Description of the service

SpeakApp is a Windows desktop application published by Florent de Maisoncelle, a sole trader (Entreprise Individuelle, EI) under the micro-enterprise tax regime, trading as PROSPECTPARTNER, registered in France under SIRET 941 122 897 00023 (SIREN 941 122 897), with registered office at 18 Rue de la République, 94220 Charenton-le-Pont, France. As a sole proprietorship, the business has no share capital (unlike company forms such as SASU or SARL).

The application allows professional users to interact by voice with conversational AI systems (Claude.ai, ChatGPT, Gemini, Claude Desktop, AntiGravity and other supported platforms) through voice dictation, spoken playback (text-to-speech, TTS), and contextual automation.

The service is available at speakapp.work as a Windows executable that users download and install locally.

2. Acceptance of the terms

Using SpeakApp constitutes full, unreserved acceptance of these Terms of Use. If you do not accept them, stop using the service immediately and uninstall the application.

Acceptance is established through any of the following:

• Creating a user account via Google OAuth or email Magic Link;
• OR downloading and installing the application;
• OR subscribing to a paid plan.

3. Plans and pricing

Prices are displayed in euros, including French VAT at 20%. Any price changes affecting existing subscribers will be communicated at least 30 days before they take effect.

4. Subscription, payment and invoicing

Paid subscriptions are purchased exclusively through the payment provider Stripe. SpeakApp has no direct access to users' payment methods.

• Payment is charged monthly (or annually, depending on the choice) on the anniversary of the subscription.
• An electronic invoice is automatically generated after every charge, emailed to the subscriber and available in the account area.
• On payment failure (expired card, limit reached, etc.), an email notice is sent. Paid access is suspended pending payment. If the payment has not been remedied within 3 weeks, the subscription is terminated and the account switches back to Free.

5. Statutory right of withdrawal

Under Article L221-18 of the French Consumer Code, you have 14 days from the date of subscription to exercise your right of withdrawal without giving a reason.

To exercise this right, write to legal@speakapp.work and clearly state your intention to withdraw. A full refund will be made within 14 days of your request.

5 bis. Commercial money-back guarantee: 14 days after first charge

Independently of the foregoing, SpeakApp offers every subscriber a separate commercial guarantee: any refund requested within 14 days after the first charge will be paid in full without requiring any justification. Simply email support@speakapp.work; the refund will be completed within 14 days.

This guarantee does not depend on eligibility under the statutory right of withdrawal and applies in every case. Because the first charge after a trial takes place on day 15 following signup, the guarantee effectively runs through day 28.

6. Cancellation

6.1 Cancellation by the user

Cancel at any time from your account area or by contacting legal@speakapp.work. Cancellation takes effect at the end of the current billing period (monthly or annual according to the plan). Apart from the guarantee in §5 bis, no prorated refunds are provided.

6.2 Cancellation by SpeakApp

SpeakApp reserves the right to suspend or terminate your account in any of these cases:

• Breach of these Terms of Use;
• Fraudulent or abusive use (quota circumvention, unauthorized account sharing, etc.);
• Non-payment following 3 weeks of unsuccessful reminders;
• Illegal activity or activity contrary to public morals.

No refund is owed when termination results from user misconduct. If SpeakApp ends service for technical or commercial reasons (service shutdown), a prorated refund will be issued.

7. Intellectual property

All source code, trademarks, logos, text, graphics, and other elements of SpeakApp are the exclusive property of Florent de Maisoncelle (PROSPECTPARTNER) or his licensors. Reproduction, representation, modification, publication, or adaptation, in whole or part, is forbidden without prior written permission.

Users retain all rights to content they create through SpeakApp (transcriptions, personal snippets, personal dictionary, etc.).

8. User obligations

When using SpeakApp, you agree to:

• Provide accurate information when creating your account;
• Keep login credentials confidential;
• Not use the service for illegal purposes, including hate incitement, child sexual abuse material, or violations of others' privacy;
• Not attempt to bypass technical protection measures or plan usage quotas;
• Not share your account with third parties (one account per individual user);
• Comply with the terms of third-party AI services accessible through SpeakApp, such as Claude.ai or ChatGPT.

9. Limitation of liability

SpeakApp is provided “as is” without warranties of any kind. We make best efforts to maintain service availability and quality, without guaranteeing a specific result.

The publisher is not liable for:

• Service interruptions caused by maintenance, failures of sub-processors (Supabase, Gladia, Mistral AI, Microsoft, Stripe, Google, Vercel, etc.), or force majeure;
• Speech transcription errors attributable to Gladia or the quality of a user's audio signal;
• Consequences of using content created through SpeakApp, particularly output from third-party AI systems, for which their respective publishers are solely responsible;
• Suspension, restriction, or termination of accounts on third-party AI platforms (Claude.ai, ChatGPT, Gemini, etc.) arising from use of the service. SpeakApp is a voice-assistance tool for the user, and users remain responsible for complying with those platforms' terms (see §8);
• Loss of user data caused by non-compliant usage or failure to maintain user-side backups.

The publisher's maximum aggregate liability for all damages is limited to the amounts actually paid by the user during the 12 months preceding the event.

Processing of personal data is governed by our Privacy policy, which forms an integral part of these Terms.

12. Amendments to the Terms

SpeakApp may amend these Terms at any time. Material changes (price updates, plan changes, or a change of publisher) will be notified to users by email at least 30 days before they take effect. Continued use after notification constitutes acceptance of the revised Terms.

13. Governing law and competent courts

These Terms are governed by French law. After an attempt at amicable settlement, the competent court will be the court of the jurisdiction where the publisher's registered office is located.

Under Articles L611-1 et seq. of the French Consumer Code, users may use the MEDICYS consumer mediation service or another mediator referenced on the European online dispute resolution platform, free of charge: ec.europa.eu/consumers/odr.
